Terms and Conditions

1. 1. Agreement to Terms

   By creating an account or using Founders Workspace (the "Service," operated by The Founders Workspace), you agree to these Terms and Conditions. If you don't agree, don't use the Service.

2. 2. Who Can Use the Service

   You must be at least 18 years old to create an account. If you're using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. 3. Your Account

   You're responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use.

4. 4. Subscription, Trial, and Billing

   • Free Trial: New monthly-plan accounts include a 15-day free trial with full platform access. The annual plan does not include a trial and is billed immediately upon signup.
   • Billing: Monthly subscriptions are billed at $59/month; annual subscriptions are billed at $599/year. Prices are subject to change with notice.
   • Trial Expiration: If you do not subscribe by the end of your trial, your account access will be locked. Reactivating requires completing a paid subscription.
   • Account Deletion: If a trial account remains unconverted, we will delete the account and all associated organization data 30 days after trial start. This deletion is permanent and cannot be reversed.
   • Cancellation: You may cancel your subscription at any time through your account's billing management page. Cancellation takes effect at the end of the current billing period; we do not provide partial refunds for unused time except where required by law.
   • Payment Processing: Payments are processed by Stripe. By subscribing, you also agree to Stripe's terms as they apply to processing your payment.

5. 5. Your Content and Data

   • Ownership: You retain ownership of the organizational content you create or upload: mission statements, board records, documents, meeting minutes, and similar materials ("Your Content").
   • License to Us: You grant us a limited license to host, store, process, and display Your Content solely as necessary to provide the Service to you.
   • AI-Generated Content: The Service includes AI-assisted features (including logo generation). Content generated through these features is provided as-is; we do not guarantee that AI-generated logos or other AI-assisted output are free of third-party rights, and you're responsible for confirming you have the right to use any AI-generated content you select, particularly if used for public or commercial branding.

6. 6. Not Legal, Tax, or Compliance Advice

   The Service provides tools, workflows, and general educational content to help you organize governance, formation, and compliance activities. The Service is not a substitute for legal, tax, or professional advice. Compliance calendar dates, formation guidance, and similar content are provided for general informational purposes and may not reflect the current requirements of your specific state or situation. You should consult a qualified attorney or accountant for advice specific to your organization.

7. 7. Third-Party Links and Referrals

   The Service may link to third-party services, including formation service providers. Where disclosed, we may receive a referral fee if you use certain linked services; this does not affect the price you pay. We do not control and are not responsible for third-party services, and using them is optional; you may always complete filings directly with the relevant government agency instead.

8. 8. Acceptable Use

   You agree not to: use the Service for any unlawful purpose; upload content that infringes others' rights or violates applicable law; attempt to gain unauthorized access to other accounts or organizations' data; or interfere with the Service's normal operation.

9. 9. Termination

   We may suspend or terminate your account for violation of these Terms. You may terminate your account at any time; see Section 4 regarding data deletion upon termination.

10. 10. Disclaimers and Limitation of Liability

    The Service is provided "as is" without warranties of any kind. To the maximum extent permitted by law, The Founders Workspace is not liable for indirect, incidental, or consequential damages arising from your use of the Service, including any reliance on compliance calendar dates, formation guidance, or AI-generated content. Our total liability for any claim is limited to the amount you paid us in the 12 months preceding the claim.

11. 11. Changes to These Terms

    We may update these Terms from time to time. Material changes will be communicated via email or in-app notice. Continued use after changes take effect constitutes acceptance.

12. 12. Governing Law

    These Terms are governed by the laws of Alabama, without regard to conflict-of-law principles.
